Terms of Service

1. Use of the Service

• Eligibility: You must be authorized to bind your organization to these Terms.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Acceptable Use: You may not misuse the Service, attempt to bypass access controls, reverse engineer the software, or interfere with the Service's operation.
• Compliance: You are responsible for the accuracy of data you provide to the Service and for complying with all applicable laws and regulations.

2. Customer Data and AI Usage

You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"). You grant Trailflow a worldwide, non-exclusive license to host, copy, transmit, and display Customer Data as necessary to provide the Service to you.

Trailflow utilizes artificial intelligence ("AI") to automate logistics workflows. We process your Customer Data to provide these AI features to your organization. We do not use your private Customer Data to train shared foundational AI models without your explicit consent.

3. Third-Party Integrations

The Service allows you to connect third-party systems (such as QuickBooks Online, Motive, Samsara, and Trimble). Your use of those third-party services is governed by their respective terms and privacy policies. Trailflow is not responsible for the operation, data practices, or availability of third-party services. You can disconnect integrations at any time within the Service settings.

4. Fees and Payment

You agree to pay all fees specified in your subscription plan or order form. Fees are non-refundable except as required by law. We reserve the right to suspend your access to the Service if your account falls into arrears.

5. Intellectual Property

Trailflow retains all rights, title, and interest in and to the Service, including all software, AI models, designs, and documentation. You may not copy, modify, or create derivative works based on the Service.

6. Disclaimers and Limitation of Liability

Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAILFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL TRAILFLOW'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO TRAILFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

8. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
